1. Introduction
These Terms & Conditions (“Terms”) and Privacy & Data Handling Policy (“Policy”) govern all sales, services, and data practices of Local AI Solutions Ltd (“we”, “our”, “us”) with the customer (“you”, “your”). By placing an order or using our services, you agree to these Terms and this Policy in full.
2. Definitions
Hardware
The laptop or other physical device supplied.
Software Setup
Installation and configuration of AI models, prompts, and related tools.
Services
Any additional services we provide, including onboarding, training, and support.
Delivery Date
The date hardware is delivered to you.
Personal Data
Any information relating to an identified or identifiable individual.
3. Products & Services
We provide pre-configured hardware and AI software setups designed for local, offline operation. All solutions are supplied as-is for professional use in the UK care sector.
4. Privacy & Data Handling Policy
- We do not access, store, or process any client, resident, or patient data at any stage.
- All AI operations occur entirely on devices owned and controlled by you.
- Any personal data you enter into the AI software remains solely under your control and is never transmitted to us or third-party AI providers.
- We do not retain copies of your prompts, outputs, or documents.
- The only personal data we hold is necessary for normal business operations (e.g., your contact details for billing and communication).
- You are responsible for ensuring your use of the software complies with applicable laws, regulations, and internal policies.
5. Ordering & Payment
- A 50% deposit is required before hardware is ordered.
- The remaining balance is due before delivery.
- Orders are only confirmed once payment is received.
- All prices are in GBP (£) and exclude VAT unless otherwise stated.
6. Delivery
- Hardware is shipped directly from trusted UK distributors.
- We are not responsible for delays caused by the distributor, courier, or events outside our control.
- Risk in the hardware passes to you upon delivery.
7. Warranty & Returns
- Hardware warranty is provided directly by the UK distributor/manufacturer in line with their terms.
- Any warranty claims must be made via the distributor’s RMA (Return Merchandise Authorisation) process.
- We do not offer refunds once hardware has been ordered, except as required by law.
8. Software Setup & Support
- Software setup includes installation of licensed AI models, prompt libraries, and configuration for local operation.
- We provide 30 days post-delivery support for reinstalling included software and basic usage queries.
- Support does not include ongoing content creation, custom prompt writing beyond the initial setup, or remote management of your devices.
9. Licensing of AI Models
- Only AI models with confirmed commercial-use licences are pre-installed.
- A model list with licence type, source, and verification date is provided on delivery.
- You must not redistribute, modify, or resell the AI models outside the scope of their licence terms.
10. Limitation of Liability
- We are not liable for any loss, damage, or harm arising from how you use the hardware or software after delivery.
- AI outputs are generated content and must be reviewed by qualified staff before being used in care decisions.
- Our total liability to you for any claim shall not exceed the total amount paid for the relevant order.
11. Compliance & Use
- You are solely responsible for ensuring your use of the hardware and AI tools complies with relevant data protection, GDPR, and sector-specific regulations.
- We are not responsible for regulatory compliance failures resulting from your internal processes.
12. Force Majeure
We are not liable for any delay or failure to perform due to events beyond our reasonable control, including supply chain disruption, transport issues, or natural disasters.
13. Data Subject Rights (Privacy Policy)
- You have the right to request a copy of the personal data we hold about you (limited to your business contact details).
- You may request correction or deletion of this data at any time by contacting us.
- We do not conduct automated decision-making or profiling on your personal data.
14. Governing Law
These Terms and this Policy are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
